The words with capitalized initial letters have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

For the purposes of these Terms and Conditions:

• Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
• Country refers to the United Kingdom.
• Company (referred to as either "the Company," "We," "Us," or "Our" in this Agreement) refers to Perseus Labs.
• Device means any device that can access the Service, such as a computer, cellphone, or digital tablet.
• Service refers to the Website and Mobile Application (Elite Reads).
• Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.
• Website refers to Perseus Labs, accessible from https://perseusai.co.uk.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such an individual is accessing or using the Service, as applicable.

These Terms and Conditions govern the use of this Service and form the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with Our Privacy Policy, which describes Our policies on the collection, use, and disclosure of Your personal information. Please read Our Privacy Policy carefully before using Our Service.

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the subscription plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless You cancel it at least 24 hours before the renewal date. You may cancel Your Subscription renewal through Your Apple App Store account settings.

A valid payment method, such as a credit card or Apple Pay, is required to process payments. By submitting such payment information, You automatically authorize the Company to charge all Subscription fees incurred through Your account.

Payments made are non-refundable, except as required by law or under Apple's refund policy. If You believe You are entitled to a refund, You must request it through Apple Support, as We do not process refunds directly.

You can manage and cancel Your subscription at any time by going to Your Apple App Store account settings.

If You access the Service through the Apple App Store, You acknowledge that Apple is not responsible for any support, refunds, or issues related to Your subscription. All billing inquiries should be directed to Apple Support.

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason, including without limitation if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.

To the maximum extent permitted by applicable law, the Company and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other damages arising out of or in connection with the use of the Service. In no event shall the Company’s liability exceed the amount actually paid by You through the Service or $100 if You have not purchased anything through the Service.

The Service is provided to You "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

The laws of the United Kingdom, excluding its conflicts of law rules, shall govern these Terms.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified and interpreted to accomplish its objectives to the greatest extent possible under applicable law.

We reserve the right to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after those revisions become effective means You accept the new Terms.
